WHY THIS MATTERS:

The transition of leadership within Adyen’s Supervisory Board marks a pivotal moment for the Dutch payments giant as it matures from a high-growth disruptor into a cornerstone of global financial infrastructure. By nominating Herna Verhagen, the former CEO of PostNL and a seasoned board member at ING and Philips, Adyen is signaling a shift toward institutional stability and deep regulatory expertise. In an era where fintechs face intensifying scrutiny from central banks and complex cross-border compliance requirements, bringing in a Chair with Verhagen’s pedigree is a strategic masterstroke. Her experience navigating the logistical complexities of a national postal service and the rigorous oversight of the banking sector will be invaluable as Adyen expands its 'single platform' philosophy into more sophisticated financial products and embedded finance solutions, ensuring the company maintains its 'entrepreneurial energy' while satisfying the demands of global regulators.

Adyen nominates Herna Verhagen as Supervisory Board member and Chair

Adyen N.V. announces that the Supervisory Board has nominated Herna Verhagen for appointment as a member of the Supervisory Board, with effect from the Annual General Meeting of Shareholders to be held on May 28, 2026 (Adyen’s Annual General Meeting).

Piero Overmars, who has served multiple terms on the Supervisory Board since January 2017, will not stand for re-election as Chair of the Supervisory Board upon the expiry of his current term. Subject to her appointment, the Supervisory Board intends to elect Herna Verhagen as Chair following the retirement of Piero Overmars.

Herna Verhagen brings more than 20 years of experience in executive and non-executive leadership roles. She previously served as Chief Executive Officer of PostNL N.V. and has been a member of the Supervisory Board of ING Groep N.V. since 2019 and of Royal Philips N.V. since 2022.

“We are very pleased to nominate Herna Verhagen for appointment to our Supervisory Board,” said Caoimhe Keogan, Vice Chair of the Supervisory Board and Chair of the Nomination and Remuneration Committee. “Herna brings extensive experience from both executive and non-executive roles. We are confident that the Supervisory Board will benefit from her broad knowledge and judgment as Adyen continues to scale its platform.” Keogan continues: “We thank Piero Overmars for his commitment and his role as an outstanding Chair, and express our deep appreciation for his significant contributions during his tenure.”

Herna Verhagen: “Adyen is a company that has grown rapidly by building technology at the core of everything it does. I am impressed by the company’s entrepreneurial energy, technological depth, and the enthusiasm with which its teams continue to scale a truly global platform. I look forward to contributing to Adyen’s long-term growth.”

The proposed appointment has been approved by the Dutch Central Bank (De Nederlandsche Bank) and will be submitted for approval to shareholders at Adyen’s Annual General Meeting. Piero Overmars will step down from the Supervisory Board toward the end of 2026.

FF NEWS TAKE:

This is a textbook example of 'growing up' without losing the edge. Piero Overmars steered Adyen through its most explosive growth phase, but Verhagen’s appointment brings a level of blue-chip gravitas that the market will love. Her dual experience in logistics and banking perfectly mirrors Adyen’s own identity as a tech-first mover of value. It’s a bold move that solidifies Adyen’s position as the adult in the fintech room.
